The role of the Members' Council

Royal FloraHolland is a cooperative of growers. Through the Members' Council, growers are involved in important decisions and policymaking from the very start. The choices and solutions arrived at take on board the interests of all our members.

Composition of the Members' Council

The Members' Council consists of at least 35 and, at most, 45 growers. Cooperative members elect the Council’s members. To accurately represent our members, the Members' Council includes a diverse mix of individuals from various backgrounds. This means the distribution of plant and flower growers, gender, revenue class and location are taken into account.

Members' Council members

The Council currently has 39 members. Nominated by the statutory Nomination Committee, they are appointed by the members at an annual members' meeting. There are clear rules on the tenure of Council members.

The duties of the Members' Council:

The Members' Council has a number of formal duties and powers, an advisory role for the Management Board and is also responsible for connecting with the people it represents: the members of Royal FloraHolland.

1. Formal duties:
The Council appoints the members of the Supervisory Board and sets their remuneration. It approves the annual accounts and the main membership rates. The Council has approval rights for investments exceeding €20 million. Each member of the Council has one vote at the Members' Council meetings. The Members' Council Regulations stipulate that formal Members' Council meetings (held twice a year) are chaired by the SB chair, and other meetings (held four times a year) are chaired by the Members' Council chair.

2. Advisory role:
The advisory role is laid down in the Members' Council Regulations. The Council can offer both solicited and unsolicited advice to the Management Board on issues it deems important, sometimes after consultation with the members they represent. Issues are often first discussed in one of the four committees established by the Members' Council.

3. Connecting with the members:
A key responsibility is to connect with the members of Royal FloraHolland. While representing the members, the Members' Council also actively engages with members during various sessions held for this purpose and is also accessible outside these sessions via ledenraad@royalfloraholland.com.

Member sessions

To fulfil the advisory and reporting roles, the Members' Council needs to understand the concerns of its members. This is why the Members' Council organises 'Member Sessions' in the Netherlands and abroad in spring and autumn. At these sessions, a memory of the Management Team (MT) usually presents an update on important topics within Royal FloraHolland. In addition, the Members' Council discusses key issues with members. The feedback collected during these informs the Members' Council’s discussions with the Management Board and the Supervisory Board (SB).
Committees within the Members' Council

The Members' Council has four committees: the Strategy Committee, Finance Committee, Member Engagement Committee and Cooperative Committee. These committees explore topics relevant to their fields and prepare the opinions and decisions of the Members' Council.

Members' Council instead of the GMM

On 1 January 2019, the Members' Council was established to replace Royal FloraHolland’s General Members' Meeting (GMM). Consequently, the Members' Council has taken over the formal duties of the GMM.
