The cooperative governance

Due to its size, Royal FloraHolland functions as a structured cooperative with a Supervisory Board, a Works Council and a Members' Council. The Management Board, as defined in the articles of association, is ultimately responsible for managing both the cooperative and the company. The Supervisory Board (SB) oversees the Management Board policies and the overall state of affairs within the business. The Members' Council exercises the powers previously held by the General Members' Meeting (GMM), such as appointing the members of the Supervisory Board and setting their remuneration, as well as approving the annual accounts and the main membership rates.

Management Board

The Management Board, as defined in the articles of association, is ultimately responsible for managing both the cooperative and the company. The articles of association stipulate that the Management Board must consist of at least two people: a chief executive officer (CEO) and a chief financial officer (CFO).

Supervisory Board

The Supervisory Board (SB) supervises the policy of the Management Board and the general course of affairs in the cooperative company. The SB also has an advisory function. Finally, the SB acts as the employer of the Management Board (appointment, dismissal, remuneration).

Members' Council

The Members' Council appoints the members of the Supervisory Board and sets their remuneration. The Members' Council also approves the annual accounts and the main membership rates. The Members' Council has approval rights for investments exceeding €20 million.
