Minutes of the formal Members' Council meeting on Thursday 7 December 2023

The formal members' council meeting was chaired for the very last time by Jack Goossens on Thursday 7 December. Jack has chaired this meeting as chairman of the Supervisory Board since 2016. So a special edition this time.
After the formal meeting, there was time for Jack's farewell. He received a Royal FloraHolland Diamond from CEO Steven van Schilfgaarde, on behalf of the Supervisory Board and Management Board, in appreciation of his contribution, commitment and involvement in the development of the floriculture sector in general and Royal FloraHolland in particular.
The formal meeting was dominated by decision-making in the context of 'Together in our Cooperative', Tariffs 2024, giving a mandate to provide security in the context of refinancing Royal FloraHolland and reappointing 2 members of the Supervisory Board.
After the Members' Council has been well informed over the past period about the decisions to be taken and intensive and good discussions have been held about this both with the company and among themselves, the following decisions were taken during this formal Members' Council meeting:
The meeting bade farewell to 4 members of the Council of Members: Arend Vreugdenhil, Carlo Elia, Matthijs Barendse and Kiki Fernandes. After they handed in their pins, they were thanked warmly on behalf of all members for their efforts in the Council of Members. The meeting also bade farewell to Joyce Lansbergen, a member of the nominations committee. The nominations committee consists of members, some of whom are and some of whom are not on the Council of Members. The committee makes the selection of candidate members of the Council of Members and monitors the reflection of the Council of Members as a whole.
But after saying goodbye, there was also room for new appointments: as many as seven new members were nominated for the Council of Members. All members had until 6 December to cast their votes on all of them. Two members of the Council of Members followed and monitored this voting process. No irregularities were found in the process. All seven candidates have a positive vote and are thus installed in the Council of Members. They are:

- The articles of association were amended following the 'Together in our Cooperative' process. There were also some adjustments in response to changing legislation. Articles of association will be amended on 1 January and can be found on the Royal FloraHolland website.
- Tariffs 2025 for members, as also discussed in the member sessions were approved.
- A mandate was given to the management board to provide collateral in the context of refinancing the cooperative.
- Birgit Otto and Piet Coelewij were appointed for a second four-year term on the Supervisory Board.

Besides these new members, a vote was also taken to reappoint several sitting Members' Council members. They too were reappointed:
- Peter Smak
- Gerrit Vermöhlen
- Steef Meewisse
- Arnoud van der Knaap
- Peter Varekamp
